Is your account an adult account or been graduated to an adult account? If not that might be your issue. Here ya go.
Is your account marked as a child account by any chance? If it is then that will be why. Due to privacy / data protection reasons only adult accounts are allowed to use certain Xbox Live features, this also extends to Halo Waypoint including the Inbox and Spartan Companies features.
